These Terms of Service (“Terms”) govern access to and use of WellSenseOS websites, portal, APIs, and related software (the “Service”) provided by WellSenseOS (“WellSenseOS”, “we”, “us”). By creating an account, accessing the portal, or connecting a device, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal data, and our Refund Policy covers cancellations and refunds.

1. The Service

WellSenseOS is a multi-tenant cloud platform for monitoring wells and water tanks. Features may include device registration, reading ingest, volume and fill calculations, history and analytics, alerts, device diagnostics, remote configuration (such as reading interval), and pragmatic agent updates, as described on our website and in the product.

We may add, change, or remove features, including during free trials or beta periods. We will use reasonable efforts to avoid material degradation of core monitoring capabilities for paying customers without notice where practicable.

2. Bring-your-own hardware

You are responsible for purchasing, installing, powering, networking, and maintaining all edge hardware (including Raspberry Pi devices, ultrasonic or other sensors, enclosures, mounts, and power supplies). WellSenseOS does not sell or warrant third-party hardware.

Sensor accuracy, mounting, geometry configuration, and local connectivity affect readings. Incorrect setup can produce incorrect levels, volumes, or alerts. You are solely responsible for validating that the system is suitable for your site.

3. Accounts and organizations

You must provide accurate registration information and keep it updated.
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
You are responsible for activity under your credentials and device tokens.
Keep passwords and device API tokens confidential; rotate tokens if compromised.
Organization administrators are responsible for users they invite and for data entered for that tenant.

4. Acceptable use

You agree not to:

Probe, abuse, or overload the Service or attempt unauthorized access to other tenants’ data
Reverse engineer the Service except where mandatory law allows
Use the Service to violate law, infringe rights, or transmit malware
Resell or white-label the Service without our prior written consent
Misrepresent readings or use the Service to deceive third parties

We may suspend or terminate access for violations or security risk.

5. Trials, plans, and fees

We may offer a free trial (for example 14 days). Trials may be limited in features, retention, or support. Unless we state otherwise, trials do not require a payment card until paid billing is enabled.

Paid plans (e.g. Home, Home+, Farm, Enterprise) and prices are described on our Pricing page and may change prospectively. Annual billing, where offered, may include a discount relative to monthly billing. Enterprise terms may be set out in a separate order form or agreement, which prevails if it conflicts with these Terms on commercial points.

When self-serve billing is available, fees are charged via our payment partner (currently Paddle). Taxes may apply. Failure to pay may result in suspension after notice. Cancellations and refunds are described in our Refund Policy.

6. Customer data

“Customer Data” means data you or your devices submit to the Service (including well configuration, readings, diagnostics, and alert settings). As between you and WellSenseOS, you retain ownership of Customer Data. You grant us a worldwide license to host, process, transmit, and display Customer Data solely to provide and improve the Service and as described in the Privacy Policy.

You represent that you have the rights necessary to submit Customer Data and that doing so does not violate law or third-party rights.

7. Intellectual property

The Service, including software, documentation, branding, and website content (excluding Customer Data), is owned by WellSenseOS or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or trial in accordance with these Terms. The edge agent is licensed for use with your WellSenseOS account and devices; open-source components are governed by their respective licenses.

8. No professional or safety-critical warranty

The Service provides informational monitoring and analytics. It is not a certified safety system, life-support system, or substitute for professional engineering, water-quality testing, or on-site inspection. Do not rely on the Service as the sole means of preventing damage, flooding, drought impact, livestock loss, or personal injury.

Alerts and projections (including days remaining or leak-related scores) are estimates based on available data and configuration. They can be wrong.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted or error-free operation. Maintenance, outages, network issues, or third-party failures may occur. Support channels and response times may vary by plan (for example priority email on Pro). Enterprise SLA commitments apply only if expressly agreed in writing.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT READINGS OR DERIVED METRICS WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLSENSEOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO US FOR THE SERVICE IN THAT PERIOD, OR (B) ONE HUNDRED EURO (€100) IF YOU ARE ON A FREE TRIAL OR OTHERWISE PAID NOTHING.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (including for death or personal injury caused by negligence where such exclusion is prohibited).

12. Indemnity

You will defend and indemnify WellSenseOS against claims, damages, and costs (including reasonable legal fees) arising from your Customer Data, your hardware installation, your misuse of the Service, or your breach of these Terms, except to the extent caused by our willful misconduct.

13. Suspension and termination

You may stop using the Service at any time and may request account deletion via support. We may suspend or terminate access for breach, non-payment, risk to the Service or others, or if we discontinue the product (with reasonable notice where practicable). Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable wind-down period, subject to the Privacy Policy and legal retention needs. Export features (where available) should be used before cancellation if you need a copy of data.

14. Changes to these Terms

We may update these Terms by posting a revised version with a new “Last updated” date. Material changes may also be communicated via the portal or email. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and close your account.

15. Governing law

These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules. Courts in Ireland have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or security, and except where mandatory consumer protections in your country of residence require otherwise.

16. General

If any provision is unenforceable, the remainder remains in effect.
Failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale.
These Terms (plus any Enterprise order form and the Privacy Policy) are the entire agreement regarding the Service.
